1. Parties

These Terms & Conditions ("Terms") are a binding agreement between you ("you", "Customer") and Functional Defect Diagnostics Ltd., a company registered in Israel ("FDD", "we", "our", "us"). They govern your use of the websites, applications and services we provide at fddiagnostics.com (together, the "Service").

2. Acceptance

By creating an account, placing an order, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation. If you do not agree, do not use the Service.

3. The Service

The Service provides spectral vibration analysis and related diagnostic tooling for engineering structures, including data ingestion, calculation of diagnostic indicators, visualisation, and report generation. Features and limits may change as we improve the Service.

4. Accounts and credentials

You must provide accurate information, keep it up to date, and maintain the confidentiality of your account credentials. You are responsible for activity performed under your account.

5. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • use the Service in violation of any applicable law or regulation;
  • engage in fraud, spam, or deceptive practices;
  • infringe intellectual property or privacy rights of others;
  • interfere with security, including by introducing malware, probing, scanning, or scraping;
  • reverse engineer, resell, redistribute, or circumvent technical limits of the Service.

6. Intellectual property

The Service, including all software, algorithms, documentation, designs, and branding, is and remains the property of FDD and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of the measurement data and content you upload and grant us a limited licence to host and process it solely to provide the Service.

7. Payments — Paddle as Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by the Paddle Buyer Terms and our Refund Policy.

8. Service availability

We work to keep the Service available and accurate, but we do not guarantee that the Service will be uninterrupted, timely, or error-free. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access where: (a) you materially breach these Terms; (b) payment for the Service fails; (c) your use poses a security or fraud risk; or (d) you repeatedly or seriously violate our policies. Where access ends, you may request export of your data within 30 days, after which it may be deleted.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the Service is limited to the fees paid by you in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law.

11. Indemnity

You agree to indemnify FDD against claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Israel. The competent courts of Tel Aviv–Yafo have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer protection rights you may have under your local law.

13. Changes

We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Material changes will be communicated in-app or by email. Your continued use of the Service after the changes take effect constitutes acceptance.
